On September 18, 2026, the Competition Defense Tribunal (Tribunal de Defensa de la Competencia<\/em>, TDC) issued Disposition No. 29\/2026. It sets out general guidelines for transactions notified during the transition to the suspensory merger control regime, which will enter into force on November 17, 2026.<\/p>\n\n\n\n

Competition Defense Law No. 27,442 (LDC), enacted in 2018, established in Article 9 an ex-ante merger control regime. Under it, notifiable transactions must be notified to and cleared by the National Competition Authority (Autoridad Nacional de la Competencia<\/em>, ANC) before closing or before the acquisition of control takes effect. However, Article 84 of the LDC deferred the entry into force of this regime until one year after the ANC became operational, which occurred on November 17, 2025.<\/p>\n\n\n\n

Against this background, the Disposition provides that the applicable merger control regime is determined by the date on which the transaction is notified to the ANC.<\/p>\n\n\n\n

Accordingly, transactions notified before November 17, 2026 will be subject to the transitional, non-suspensory regime set out in Article 84 of the LDC. Transactions notified on or after that date will be subject to the suspensory regime under Article 9 and must obtain ANC clearance before closing.<\/p>\n\n\n\n

To fall within the transitional regime, the notification must be supported by a legally binding agreement between the notifying parties. The agreement must be signed by persons with sufficient authority and must bind the parties to implement the transaction on the terms notified. The Disposition clarifies that this requirement is not met by letters of intent, memoranda of understanding (MOUs), term sheets, non-binding offers, or other preliminary instruments that do not bind the parties to implement the transaction.<\/p>\n\n\n\n

Thus, a transaction notified before November 17, 2026 and supported by a signed, legally binding agreement will remain subject to the current transitional, non-suspensory regime, even if closing takes place after that date.<\/p>\n\n\n\n

Notification under the transitional, non-suspensory regime follows the logic of the system in force until November 17, 2026. The transaction may close before the ANC issues its decision, and doing so does not constitute gun-jumping. The transaction will remain subject to review by the ANC under the terms of the LDC.<\/p>\n\n\n\n

The same criterion also works in reverse. A transaction whose agreement was signed before November 17, 2026 but which is notified after that date will be subject to the suspensory regime and must obtain ANC clearance before closing.<\/p>\n\n\n\n
